Welcome to ReplyCloud. These Terms of Service ("Terms") govern your access to and use of the ReplyCloud website and services. By accessing or using our services, you agree to be bound by these Terms.
1. About ReplyCloud
ReplyCloud provides professional review management services for businesses, including monitoring and responding to customer reviews on platforms such as Google Business Profile.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into agreements on behalf of yourself or your business.
By using our services, you represent and warrant that you meet these requirements.
3. International Clients
ReplyCloud provides services to businesses located in multiple countries, including the United States.
Clients are responsible for ensuring that their use of our services complies with all applicable local laws, regulations, and platform requirements in their jurisdiction.
ReplyCloud does not provide legal, tax, or regulatory advice regarding a client's business operations.
4. Services
ReplyCloud provides services including, but not limited to:
Monitoring customer reviews
Responding to reviews on behalf of clients
Reputation management support
Customer feedback management
Google Business Profile review assistance
The specific services provided depend on the subscription plan selected by the client.
5. Google Business Profile Access
To provide our services, clients must grant ReplyCloud Manager access to their Google Business Profile.
The client retains full ownership and control of their Google Business Profile at all times.
ReplyCloud will never claim ownership of a client's Google Business Profile.
Clients may revoke access at any time, but doing so may prevent ReplyCloud from continuing to provide services.
By granting Manager access to their Google Business Profile, the client expressly authorizes ReplyCloud to monitor, manage, and publish review responses on the client's behalf as part of the agreed services.
The client authorizes ReplyCloud to publish review responses on the client's behalf for business locations in any country where the client operates.
ReplyCloud will make reasonable efforts to ensure that responses are professional, appropriate, and aligned with the client's brand and communication preferences.
The client remains responsible for the accuracy of their business information and any specific instructions provided to ReplyCloud.
6. Client Responsibilities
Clients agree to:
Provide accurate and up-to-date information
Maintain ownership of their Google Business Profile
Grant required permissions necessary for service delivery
Cooperate with reasonable information requests
Ensure that their business complies with applicable laws and regulations
Clients remain solely responsible for their business operations, products, and services.
7. Payments
All fees are billed in advance according to the selected subscription plan.
Payments are processed securely through third-party payment providers, including Stripe.
Failure to pay may result in suspension or termination of services.
All fees are non-refundable except where required by law or explicitly stated otherwise.
Applicable taxes may be added where required.
8. Subscription and Cancellation
Subscriptions automatically renew unless canceled before the next billing cycle.
Clients may cancel their subscription at any time.
Cancellation prevents future billing but does not automatically entitle the client to a refund for the current billing period.
Services remain active until the end of the paid billing period.
9. Refund Policy
Due to the nature of digital and professional services, payments are generally non-refundable.
If a billing error occurs, clients should contact ReplyCloud within 14 days so the issue can be reviewed.
10. No Guarantees
ReplyCloud does not guarantee:
Increased revenue
Increased customer traffic
Improved Google rankings
Improved review ratings
Specific business results
Any particular level of customer engagement
Results depend on many factors beyond our control.
11. Third-Party Platforms
ReplyCloud relies on third-party platforms including, but not limited to:
Google
Stripe
Framer
Email service providers
We are not responsible for:
Changes to third-party policies
Service interruptions
Account restrictions imposed by third parties
Technical issues outside our control
12. Intellectual Property
All ReplyCloud branding, website content, designs, logos, materials, processes, and proprietary systems remain the exclusive property of ReplyCloud unless otherwise stated.
Clients may not reproduce, distribute, copy, modify, or exploit any proprietary material without prior written consent.
13. Confidentiality
ReplyCloud agrees to treat non-public business information provided by clients as confidential.
Such information will only be used to provide the agreed services and will not be disclosed to third parties except:
With client authorization
As required by law
When necessary to provide the service
14. Compliance with Local Laws
Clients remain solely responsible for ensuring that their business activities, customer communications, and review responses comply with all applicable laws and regulations in their jurisdiction.
ReplyCloud shall not be liable for a client's failure to comply with local legal requirements.
15. Limitation of Liability
To the fullest extent permitted by law, ReplyCloud shall not be liable for:
Indirect damages
Consequential damages
Incidental damages
Loss of profits
Loss of business opportunities
Reputation-related losses
Data loss
Service interruptions caused by third parties
ReplyCloud's total liability shall not exceed the total amount paid by the client during the three (3) months immediately preceding the event giving rise to the claim.
16. Indemnification
Clients agree to defend, indemnify, and hold harmless ReplyCloud, its owners, affiliates, employees, and contractors from any claims, liabilities, damages, losses, and expenses arising from:
Client-provided information
Client business practices
Violations of applicable laws
Misuse of services
17. Termination
ReplyCloud may suspend or terminate services immediately if:
These Terms are violated
Fraudulent activity is suspected
Required account access is removed
Payments remain overdue
The client engages in abusive, unlawful, or threatening conduct
Outstanding fees remain payable following termination.
18. Privacy
Your use of our services is also governed by our Privacy Policy.
By using ReplyCloud, you acknowledge that you have read and understood our Privacy Policy.
19. Changes to These Terms
ReplyCloud reserves the right to update these Terms at any time.
Updated versions will be posted on this page with a revised effective date.
Continued use of the services following any changes constitutes acceptance of the updated Terms.
20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Germany.
21. International Services
ReplyCloud may provide services to clients located outside Germany, including clients located in the United States.
The fact that services are provided internationally shall not affect the applicability of these Terms or the governing law specified herein.
All clients agree that these Terms shall govern the relationship between the client and ReplyCloud regardless of the client's location.
